A presente dissertação analisa condições contratuais restritivas que emergem em negociações de contratos de transferência de tecnologia celebrados entre instituição nacional de C&T e empresas estrangeiras de países desenvolvidos. O cerne da análise está na identificação das condições restritivas propostas e seus impactos mais relevantes sobre o objeto negociado. De forma complementar, inferir sobre possíveis consequências para o processo de catching-up do país adquirente. O trabalho se estrutura teoricamente sobre a reflexão acerca da relação entre tecnologia e desenvolvimento econômico. São apresentadas questões centrais como o acesso e o valor explícito e implícito da tecnologia. Há uma contextualização da evolução normativa utilizada como base de análise destas condições restritivas pela autoridade nacional competente. E, finalmente, a análise do objeto de estudo: algumas condições restritivas. Como resultado, é apresentada uma classificação das cláusulas restritivas analisadas, baseada no impacto sobre o objeto contratual, e nas potenciais implicações para ofertantes e demandantes.
Abstract
This dissertation examines restrictive contract terms that emerge in negotiations of technology transfer agreements between a national institution of S&T and foreign companies from developed countries. The core of the analysis is the identification of proposed restrictive conditions and their most relevant impacts on the subject negotiated. Complementarily, infer the possible consequences for the process of catching-up of the purchaser country. The work is structured on theoretical reflection about the relationship between technology and economic development. Central questions like access and explicit and implicit value of technology are presented. There is an overview of the regulatory changes used as reference for analysis of these restrictive conditions by the competent national authority. And finally, the analysis of the object of study: some restrictive conditions. As a result, is presented a classification of restrictive clauses analyzed, based on impact on the contractual object, and potential implications for suppliers and demanders.
